# AJETO — M&A advisory for founder-led technology companies Source: https://www.ajeto.xyz/ · Contact: petr@ajeto.xyz · Base: Prague, CZ AJETO stands for Acquire · Join · Exit · Together. We advise founder-led technology companies on the sale of their business: we prepare the company, create buyer demand and negotiate through to signing. Boutique, sell-side mandates. Confidential, no obligation. ## At a glance - Mandate: sell-side, majority or 100% - Sector: technology and tech-enabled - Buyers: strategic and financial, Europe and US - Base: Prague, working cross-border ## What AJETO stands for - Acquire: buyers who need what you built — approached deliberately, not blasted at a list. - Join: rollover, earn-out, retention. What happens to you and your team after closing. - Exit: a clean process that ends in a signature, not a year of conversations. - Together: two partners on the deal from kick-off to closing. Never a junior team. ## What we do A sale is won long before the term sheet — in how the company is positioned, which buyers are approached, and in what order. - Exit readiness: cap table, IP chain of title, contracts, metrics — fixed before a buyer's diligence finds them. - Positioning and equity story: what the company is worth to a specific acquirer, and how to say it. Model, narrative, data room. - Buyer research and outreach: a short, researched list of acquirers with a concrete reason to move — approached under NDA, in sequence. - Process and competitive tension: timelines, indicative offers, management meetings. Real alternatives are the only thing that moves price. - Negotiation and deal structure: consideration mix, earn-out, escrow, warranties, lock-up. Price is one number among many. - Due diligence and closing: we run the data room and Q&A so diligence does not stall the business, then drive SPA and closing. Legal and commercial under one roof: AJETO leads the commercial process; the legal workstream is delivered by spectre.law (https://spectre.law). One team facing the buyer. ## How we work Five stages, six to twelve months, one team the whole way. 1. Fit: a confidential conversation about the company and your timing. If selling now is the wrong move, we will say so. 2. Preparation: equity story, financial pack, data room, legal readiness. Four to eight weeks removing what a buyer would later discount. 3. Market: acquirers with a strategic reason to buy, approached under NDA in a sequence built for real competition. 4. Negotiation: indicative offers, then term sheets. Price, structure, earn-out and founder terms in parallel, with more than one party live. 5. Closing: buyer diligence, disclosure, SPA, signing, settlement. ## Track record Deals our partners have led, on both sides of the table. - Skrz / Slevomat → Secret Escapes (founder-led exit): Petr led Skrz.cz as co-owner and CEO through the sale and the integration after it. spectre was counsel on the wider Slevomat sale. - Macaly (pre-revenue exit): sold with almost no revenue. The buyer paid for the feature set and the AI-first team behind it, under pressure from rivals who each knew only one would get it. - DámeJídlo / Foodora → Delivery Hero (strategic sale): full legal lead on the sale of a leading Czech food-delivery platform to a global acquirer. - IGNUM, IoT.Water (majority deals): majority transactions, rollovers and investment rounds across software, SaaS, e-commerce and deep tech. ## Is it for you We take a small number of mandates a year. Good fit: - Founder-owned technology companies, where the founders control the decision. - A sale is a real decision within 6–18 months. - Something a buyer would pay for: product, team, customers, or a position they cannot build quickly. - You want senior people personally on the deal. Probably not a fit: - You are raising capital, not selling. - Pre-product or pre-team, with nothing an acquirer can absorb. - You want a valuation opinion rather than a transaction. - The company is in distress and the timeline is weeks. ## Team - Jan Krabec, LL.M. — co-lead M&A adviser, lead counsel, managing partner of spectre.law. Nothing leaves the two of us, and we will sign an NDA before you share specifics. No buyer is approached without your go-ahead. Q: How long does a sale take? A: Typically six to twelve months: one to two of preparation, three to five in the market, two to three from term sheet to closing. Q: What does it cost? A: We work on a mandate basis and agree terms once we understand the transaction — its size, complexity and how much preparation it needs. Q: Where do you find buyers? A: A specific list for each mandate: strategic acquirers who need what you built, plus financial buyers where the profile fits, across Europe and the US. No mailing list. Q: Do you also work with buyers? A: Our default is sell-side. Where a founder wants to acquire instead, we will discuss a buy-side mandate — but never both sides of the same deal. Q: How is this different from a big advisory firm? A: Two partners, a handful of mandates a year, both in the room for every negotiation that matters. ## Contact Email petr@ajeto.xyz with two or three lines about the company and your timing.
